Acceptance of Terms By creating an account or using Reviwise (the "Platform"), you agree to be bound by these Terms of Use and all applicable laws. If you do not agree, you must not use the Platform. Reviwise is a Platform-as-a-Service (PaaS) owned and operated by Truezone Inc. ("Truezone", "we", "us", "our"). 2. Description of Service Reviwise provides tools for businesses to: - Connect and manage their Google Business Profile - Monitor, filter, and analyze Google reviews - Reply to reviews from one unified dashboard - View analytics, insights, and performance data - Manage multiple locations - Receive notifications and alerts Reviwise is not affiliated with Google. To use the Platform, you must sign in with your Google account and authorize limited access to your Google Business Profile and related data. 3. Accounts & Eligibility You must: - Be at least 18 years old; - Have legal authority to manage the Google Business Profile you connect; - Provide accurate information when registering and keep your credentials secure; - Notify us immediately of any unauthorized access to your account. 4. Google Account Permissions By connecting your Google account, you authorize Reviwise to: - Read reviews, responses, and review metadata; - Read your Google Business location details and analytics; - Post replies to reviews on your behalf when initiated by you through the Platform. Reviwise does not have access to your Gmail messages, Google Drive files, contacts, or any unrelated Google data. You may revoke access at any time via your Google account security settings. Revoking access may limit or disable your ability to use the Platform. 5. User Responsibilities You agree to: - Use the Platform only for lawful purposes; - Ensure that your responses to reviews are truthful, accurate, and compliant with applicable law; - Comply with Google's terms and policies for Google Business Profile and reviews; - Not use the Platform to harass, defame, threaten, or mislead others; - Maintain the confidentiality of your login credentials. 6. Billing & Subscription Terms 6.1 Free Trial New users may receive a 7-day free trial. During the trial period, your payment method will not be charged. 6.2 Automatic Renewal When you provide your payment information and create an account, you authorize Truezone Inc. to start a subscription at the end of your free trial (if applicable) and to charge your payment method on a recurring monthly basis, unless you cancel before the end of the trial. 6.3 Monthly Subscription Subscriptions renew monthly until canceled. Subscription fees are clearly displayed: - During onboarding; - In the Billing or Settings section of your account; - On Stripe-generated invoices or receipts. 6.4 Payment Processing All payments are processed securely by Stripe. Reviwise does not store full credit card numbers, CVV codes, or expiration dates. Stripe tokenizes your payment details and handles the payment processing on our behalf. 6.5 Failed Payments If a payment fails, we may: - Retry the payment using the same payment method; - Notify you by email or via the Platform; - Suspend or limit your access to the Platform until payment is successfully processed. 6.6 Cancellation Policy You may cancel your subscription at any time from the Billing or Settings section of your account. When you cancel: - Your subscription will remain active until the end of the current billing period; - No further charges will be made after the current billing period; - No refunds are provided for partial months or unused time within the billing period. 6.7 Refund Policy Reviwise does not generally offer refunds for: - Partial months of service; - Unused time on a subscription; - Failure to cancel before the renewal date. Any refund granted is at the sole discretion of Truezone Inc. in exceptional circumstances, such as verified platform-wide technical faults affecting service availability. 6.8 Price Changes We may modify subscription pricing from time to time. If we change prices, we will provide notice through the Platform and/or via email. Your continued use of the Platform after the new pricing takes effect constitutes your acceptance of the new prices. 7. Prohibited Activities You agree not to: - Manipulate, falsify, or otherwise interfere with genuine customer reviews; - Use bots, scripts, or automated tools to access or interact with the Platform without our consent; - Reverse engineer, decompile, or attempt to access the source code of the Platform; - Attempt to gain unauthorized access to other users' accounts or data; - Upload or transmit viruses, malware, or other harmful code. 8. Data Ownership All Google Business data, reviews, review responses, and related Google information belong to you (or the business you represent), not to Truezone Inc. Reviwise only processes such data on your behalf in order to provide the Platform's features. Upon disconnection of your Google account or termination of your Reviwise account, our access to your Google data is removed or limited in accordance with our Privacy Policy and Data Processing Addendum (DPA). 9. Intellectual Property The Platform, including but not limited to its software, design, layout, graphics, logos, and trademarks, is owned exclusively by Truezone Inc. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our prior written consent. 10. Availability & Disclaimer of Warranties The Platform is provided on an "as-is" and "as-available" basis, without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Truezone Inc. does not guarantee that: - The Platform will be uninterrupted, timely, secure, or error-free; - Notifications will always be delivered or received; - Google APIs, services, or integration will always be available or unchanged; - Analytics and reports will always be complete, accurate, or up-to-date. 11. Limitation of Liability To the maximum extent permitted by law, Truezone Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, goodwill, or other intangible losses arising out of or in connection with your use of the Platform. In no event shall Truezone Inc.'s total liability for all claims relating to the Platform exceed the amount you paid to us in subscription fees during the three (3) months immediately preceding the event giving rise to the claim. 12. Termination We may suspend or terminate your access to the Platform if: - You violate these Terms of Use; - Your subscription payment fails repeatedly; - We detect fraudulent, abusive, or suspicious activity associated with your account; - We are required to do so by law or governmental request. Upon termination, your right to use the Platform will cease immediately. Certain provisions of these Terms (including but not limited to Intellectual Property, Limitation of Liability, and Governing Law) will continue to apply after termination. 13. Governing Law These Terms of Use are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. 14. Changes to Terms We may update or modify these Terms of Use from time to time. When we do, we will post the updated Terms on the Platform and may notify you by email or through in-app notifications. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. 15.
